These Terms & Conditions ("Terms") govern your access to and use of the website and services of ConnectGo Infoware ("ConnectGo", "we", "us" or "our"), an IT software company based in Bhavnagar, Gujarat, India. By using our website or engaging us for a project, you agree to these Terms. A signed proposal, statement of work (SOW) or master services agreement, where one exists, will take precedence over these Terms to the extent of any conflict.
1. Scope of Services
ConnectGo provides custom software development, web and mobile application development, SaaS product engineering, CRM/ERP systems, AI automation, cloud solutions and related consulting and support. The precise scope, deliverables, timeline and price for any engagement are defined in a written proposal or SOW agreed with the client. Work outside that agreed scope is treated as a change request and may affect cost and timeline.
2. Engagement & Quotations
Quotations are based on the requirements available at the time of estimation and are valid for 30 days unless stated otherwise. An engagement begins once you accept a quotation or SOW in writing and any required advance is paid. Estimates for time and cost are made in good faith; significant changes to requirements may require a revised quotation.
3. Intellectual Property & Code Ownership
Upon full and final payment for an engagement, ownership of the custom source code and deliverables created specifically for the client under that engagement transfers to the client, except as noted below. Until full payment is received, all deliverables remain the property of ConnectGo.
ConnectGo retains ownership of any pre-existing tools, libraries, frameworks, internal components and know-how used to deliver the work. Where such ConnectGo components are embedded in a deliverable, the client receives a non-exclusive, perpetual licence to use them as part of that deliverable. Third-party and open-source components remain governed by their respective licences.
4. Payment Terms
- Projects are typically billed against an advance and subsequent milestones, as set out in the SOW.
- Invoices are payable within the period stated on the invoice (usually 7–15 days) unless otherwise agreed.
- All fees are exclusive of applicable taxes (including GST), which are charged additionally where required.
- Late payments may attract a reasonable late fee and may result in work being paused until the account is brought up to date.
5. Client Responsibilities
Timely delivery depends on your cooperation. You agree to provide accurate requirements, necessary content, access and credentials, and prompt feedback and approvals at each stage. Delays in providing inputs or sign-off may extend timelines and affect costs. You are responsible for ensuring that any content or data you supply does not infringe the rights of others or violate applicable law.
6. Warranties & Limitation of Liability
We warrant that services will be performed with reasonable skill and care, and we provide a defect-correction period (typically 30 days from delivery) during which we will fix reported bugs in delivered work at no additional charge. This warranty does not cover issues arising from changes made by third parties, misuse, or changes in the operating environment.
To the maximum extent permitted by law, ConnectGo's total aggregate liability arising out of or in connection with an engagement shall not exceed the fees paid by the client for that engagement. We are not liable for indirect, incidental or consequential losses, including loss of profit, data or business opportunity. Nothing in these Terms excludes liability that cannot be excluded by law.
7. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other in the course of an engagement, and to use it only for the purpose of the engagement. This obligation survives the end of the engagement. Where required, a separate non-disclosure agreement (NDA) can be signed before discussions begin.
8. Termination
Either party may terminate an engagement with written notice as set out in the SOW. On termination, the client shall pay for all work completed and expenses incurred up to the date of termination. Provisions relating to payment, intellectual property, confidentiality and liability survive termination.
9. Governing Law & Jurisdiction
These Terms are governed by the laws of India. The courts of Bhavnagar, Gujarat, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or any engagement, subject to any alternative dispute resolution process agreed in writing.
